MS3IT Business Solutions agrees to provide the digital automation, CRM implementation, and related services as outlined in the proposal, statement of work, or invoice delivered to the Client. Services may include but are not limited to:
Any services outside the agreed scope require a separate written amendment and may be subject to additional fees.
Payment is due as specified in the invoice. MS3IT Business Solutions accepts payment via the secure payment link provided. Accepted methods include credit card, debit card, and ACH transfer where available.
Invoices unpaid after 15 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. MS3IT reserves the right to suspend access to any configured systems or accounts until payment is received in full.
All fees paid for services already rendered are non-refundable. This includes completed setup work, workflows built and deployed, contact imports, campaign configurations, and any training or walkthrough materials delivered.
If the Client cancels prior to project completion, MS3IT will invoice for all work completed to date at the agreed hourly or project rate, and any remaining balance is immediately due.

MS3IT is not responsible for delays caused by the Client's failure to provide required information or approvals.
Upon receipt of payment in full, the Client owns all custom workflows, campaign templates, and configurations built specifically for their business within their GHL sub-account.
MS3IT retains ownership of all proprietary frameworks, standard operating procedures, training materials, playbooks, and internal systems used in the delivery of services. These may not be copied, redistributed, or resold without written permission.
MS3IT Business Solutions is not liable for any indirect, incidental, consequential, or special damages arising from the use of, or inability to use, any configured system — including but not limited to lost revenue, lost data, or third-party platform outages.
MS3IT's total liability under this agreement shall not exceed the total fees paid by the Client for the services in question. Results from automation campaigns, email deliverability, and lead conversion are not guaranteed and are subject to variables outside MS3IT's control.
Both parties agree to keep confidential any proprietary business information, client data, pricing terms, and system configurations shared during the course of this engagement. Neither party will disclose confidential information to third parties without prior written consent, except as required by law.
This agreement is governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any disputes arising from this agreement shall first be addressed through good-faith negotiation between the parties.
If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in Wake County, North Carolina, in accordance with the rules of the American Arbitration Association.
These Terms and Conditions, together with any associated invoice, proposal, or statement of work, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements — whether written or verbal — relating to the subject matter herein.
MS3IT reserves the right to update these terms with reasonable notice. Continued use of services or submission of payment after notice of updates constitutes acceptance of the revised terms.
By submitting payment, the Client acknowledges that they have read, understood, and agree to these Terms and Conditions. A digital record of payment serves as acceptance of this agreement.
